Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Citegrade platform, website, and services provided by Citegrade Technologies Inc. (“Citegrade,” “we,” “our”). By creating an account or using our services, you agree to be bound by these Terms.
1. The Service
Citegrade provides an AI-powered content analysis and editorial optimization platform. The service scans web pages and text content to generate citation readiness scores, identify issues that may prevent AI search tools from citing your content, and suggest editorial rewrites. Citegrade is a tool for content analysis and does not guarantee any specific search ranking, AI citation, or traffic outcome.
2. Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@citegrade.com if you suspect unauthorized access.
You must be at least 18 years old or the age of legal majority in your jurisdiction to use Citegrade. By using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Subscriptions & Billing
Citegrade offers Free, Pro, and Team plans. Paid subscriptions are billed in advance on a monthly or annual basis. Prices are listed on our pricing page and may change with 30 days' notice.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you cancel, you retain access to paid features until the end of your current period.
Scan limits reset at the beginning of each billing cycle. Unused scans do not roll over. Exceeding your plan's scan limit requires an upgrade to continue auditing.
4. Acceptable Use
You agree not to:
- Use Citegrade to scan pages you do not own or have authorization to analyze
- Reverse-engineer, decompile, or attempt to extract the source code or algorithms of the service
- Submit URLs or content that is illegal, harmful, or infringes on the intellectual property of others
- Resell, redistribute, or white-label the service without a Team plan or written agreement
- Attempt to overwhelm the service with automated requests beyond your plan's rate limits
- Use the service to generate content for the purpose of misleading AI search systems with fabricated data
5. Content & Intellectual Property
Your content. You retain all ownership of the content you submit to Citegrade for analysis. By submitting content, you grant us a limited license to process, analyze, and store it as necessary to provide the service. We do not claim ownership of your content or the rewrite suggestions generated for your use.
Our platform. Citegrade's platform, including its software, algorithms, design, branding, and documentation, is the intellectual property of Citegrade Technologies Inc. and is protected by applicable intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or proprietary technology beyond using the service as intended.
6. Availability & Support
We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. In the event of extended outages, affected paid subscribers may be eligible for service credits at our discretion. Support is provided via email. Response times vary by plan: standard support for Free users, priority support for Pro and Team subscribers.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. CITEGRADE DOES NOT GUARANTEE THAT AI SEARCH ENGINES WILL CITE YOUR CONTENT, THAT YOUR SEARCH RANKINGS WILL IMPROVE, OR THAT ANY SPECIFIC OUTCOME WILL RESULT FROM USING THE SERVICE. CITATION READINESS SCORES ARE ESTIMATES BASED ON OUR ANALYSIS METHODOLOGY AND SHOULD NOT BE CONSTRUED AS GUARANTEES.
8. Limitation of Liability
To the maximum extent permitted by law, Citegrade's total liability to you for any claims arising from or related to these Terms or the service shall not exceed the amount you paid to Citegrade in the twelve (12) months preceding the claim. Citegrade shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunity.
9. Termination
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. You may delete your account at any time from your settings page. Upon termination, your right to use the service ceases immediately. We will retain your data in accordance with our Privacy Policy.
10. Changes to These Terms
We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the service after the effective date of updated Terms constitutes acceptance. If you disagree with the changes, you may close your account before they take effect.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
